Acceptance of Terms
Please read these Terms of Use carefully. These Terms govern your access and use of the DataBid website and platform. By accessing or using DataBid, you agree to be bound by these Terms and to any additional guidelines, restrictions, or rules that may be posted in connection with specific sections or services.
DataBid reserves the right to update these Terms at any time without prior notice. The most current version can be reviewed by visiting this page. Your continued use of DataBid after changes are posted constitutes acceptance of the revised Terms.
Materials & Content
This site contains graphics, images, artwork, text, data, names, numbers, addresses, and other information (collectively, "Content"). This site and all Content are the copyrighted property of DataBid and/or its subsidiaries, or the copyrighted property of parties from whom DataBid has licensed such property. All rights are reserved worldwide.
It is strictly prohibited to retain, copy, distribute, publish, or use any portion of the Content except as expressly allowed in these Terms. DataBid reserves the right to add to, delete from, or modify any part of Content at any time without prior notice.
Use of Site
You are granted permission to access and use DataBid and its Content for the sole purpose of preparing, evaluating, and ordering products or services through DataBid ("Products"). No other download, retention, use, publication, or distribution of any portion of the Content is authorized.
The "Project Share" feature is designed to facilitate collaboration within your company. You may share projects with authorized personnel within your organization who require access for legitimate business purposes. Sharing projects with anyone outside your company — including subcontractors, vendors, or other third parties — is strictly prohibited unless expressly authorized by DataBid.
You may not use this Site to transmit spam or unsolicited emails, or use scripting or other programs to automate the creation and/or transmission of messages. You are responsible for protecting your password and controlling access to your registered account.
Prohibited Actions
The following actions are strictly prohibited:
- Using DataBid for any purpose prohibited by law or regulation, or to facilitate the violation of any law or regulation.
- Using or attempting to use any "deep-link," "scraper," "robot," "bot," "spider," "data mining," or any automated device, program, or methodology to access, acquire, copy, or monitor any portion of DataBid without prior express written consent.
- Violating any measure employed to limit or prevent access to DataBid or its content.
- Violating the security of DataBid or attempting to gain unauthorized access through hacking, password mining, or any other means.
- Impersonating any person or entity, or falsely representing an affiliation with a person or entity.
- Interfering with or disrupting the proper working of DataBid, including accessing data or content prior to its intended availability.
- Using DataBid to stalk, harass, or harm another person.
Acceptable Use Policy
You agree to use DataBid in a responsible manner that is in full compliance with these Terms, applicable Canadian and international laws, and all relevant regulations including export and import controls. Without limitation:
- No portion of Content may be used as a trademark or service mark without authorization.
- Content may not be used for any unlawful, pornographic, defamatory, or infringing purpose.
- Products you create must not be offensive, unlawful, harassing, threatening, harmful, obscene, or otherwise objectionable.
- You are solely responsible for your use of Content in combination with any other materials you incorporate.
DataBid may terminate service to users found to be engaging in unacceptable activities at its sole discretion.
Intellectual Property
All content on the DataBid platform — including text, graphics, logos, icons, images, data compilations, and software — is the property of DataBid or its content suppliers and is protected by Canadian and international copyright, trademark, and intellectual property laws.
The DataBid name, logo, and all related product and service names, design marks, and slogans are trademarks of DataBid. You may not use any of these without prior written permission.
Registration & Accounts
As part of the registration process, you must select a screen name and password and provide accurate, complete, and up-to-date information. Failure to do so constitutes a breach of this Agreement, which may result in immediate termination of access.
Sharing your personal DataBid account information is against our licensing policy. DataBid employs various methods, including IP address tracking, to ensure user licenses are not violated. Violations may result in immediate account termination without refund, and additional fees may apply.
Project Update & Email Notifications
As a subscriber, we may send you service, project, or company related email messages. These are generally transactional in nature and necessary to fulfill the Service. Examples include Daily Project Email Alerts, project invites from other members, and service-related announcements (e.g., maintenance notifications).
To opt out of email updates, users must deactivate email notifications that are part of saved company or project searches. For assistance, call 888-929-3282.
Project Documents
Documents posted on DataBid are for informational purposes only and are not intended for use in actual bidding. DataBid assumes no responsibility for the accuracy of document information or timeliness of documents posted.
If your intent is to bid on a project, registration with the tendering authority is necessary to secure bidding documents and ensure your tender is recognized as compliant. DataBid does not guarantee delivery of addenda by any means. It is the bidder's sole responsibility to check the tendering authority website for any addenda prior to bid closing.
User Submissions & Feedback
All comments, feedback, suggestions, ideas, and other information disclosed or submitted to DataBid (collectively, "Comments") shall become the property of DataBid. Such submission constitutes an assignment of all worldwide rights, titles, and interests in all copyrights and other intellectual properties in the Comments.
You agree that no Comments submitted by you will violate any right of any third party, including copyright, trademark, privacy, or other proprietary rights, and will not contain libelous, unlawful, abusive, or obscene material.
Information You Supply
You may provide company information such as subcontractor and/or supplier email addresses, fax numbers, and contact information. You certify that this information is accurate, that you have a current business relationship with any companies you provide, and you authorize DataBid to contact them on your behalf for distribution of bid invitations and construction project information.
DataBid requires that the information you provide be true, accurate, and up-to-date at all times. We reserve the right to terminate your access if any information provided does not meet these requirements.
Email Consent
By logging in, submitting any form, agreeing to these Terms upon initial login, saving or tracking projects/companies, creating email alerts, or requesting information from DataBid, you are giving express consent to DataBid and its affiliates to send email notifications. These may include special offers, project alerts, company alerts, related news, and product enhancements.
You may opt out at any time by clicking the unsubscribe link in any DataBid email or by sending a request with "UNSUBSCRIBE" in the subject line to unsubscribe@databid.com. Do not reply to system-generated emails as these are unattended transactional messages.
Billing & Auto-Renewal
To maintain continuity and avoid interruption in service, DataBid will automatically renew subscriptions on the renewal date. To avoid auto-renewal, subscribers must cancel their account prior to the renewal date via "My Account" by selecting the "Cancel Subscription" link.
Any account cancelled after the renewal date will be cancelled effective the next renewal date. DataBid may use credit card update services to update expiring credit cards associated with subscriptions to help ensure continuity of service.
Service Availability
DataBid strives to maintain platform availability with minimal downtime. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance windows will be communicated to users in advance whenever possible.
DataBid shall not be liable for any temporary unavailability due to maintenance, updates, or circumstances beyond our control. We aim for 99.5% uptime on an annual basis, excluding scheduled maintenance periods.
Indemnification
You agree to indemnify and defend DataBid, its licensors, suppliers, vendors, and their directors, officers, and employees against all claims, liability, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms of Use
- Any materials you incorporated into Products that were not part of standard DataBid Content
- Material entered into DataBid with the use of your screen name or password
DataBid reserves the right to assume the exclusive defense and control of any matter for which you have agreed to indemnify DataBid.
Disclaimer of Warranty
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
You acknowledge that operation of the site may not be uninterrupted or error-free. References and links to third-party products or services are provided "as is" without warranty of any kind.
Limitation of Liability
IN NO EVENT SHALL DATABID, ITS LICENSORS, SUPPLIERS, OR VENDORS, THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR FOR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA, OR PROFITS, WHETHER OR NOT DATABID HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGE.
DataBid verifies and confirms all data to the best of its ability but is not responsible for the accuracy or completeness of any information. DataBid assumes no liability resulting from the use of data provided.
Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the dispute to mediation before pursuing any other form of dispute resolution.
If mediation is unsuccessful, either party may pursue resolution through the courts of competent jurisdiction as specified in the Governing Law section below.
Governing Law
These Terms of Use and your relationship with DataBid shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws provisions. You and DataBid agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada, to resolve any legal matter arising from these Terms.
Notwithstanding the foregoing, DataBid shall be permitted to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
Force Majeure
DataBid shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond DataBid's reasonable control, including but not limited to: natural disasters, acts of government, pandemic, power failures, internet disruptions, cyberattacks, or acts of terrorism.
Modifications to Terms
DataBid reserves the right to modify these Terms at any time. When we make material changes, we will notify users through one or more of the following methods:
- Posting a notice on the DataBid website
- Sending an email notification to registered users
- Displaying a banner or notification within the platform
Your continued use of DataBid following any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
